Terms and Conditions

1. Definitions

In these Terms and Conditions, unless the context otherwise requires:

  1. "Infodeck" means Infodeck Technology Pte Ltd (UEN: 202230608E), a company incorporated in Singapore with its registered office at 68 Circular Road #02-01, 049422, Singapore.
  2. "Services" means the Infodeck CMMS (Computerized Maintenance Management System) and IoT platform, including all software, mobile applications, web applications, APIs, and related technical support delivered through automated means. Services expressly excludes Professional Services.
  3. "Professional Services" means optional human-delivered services including custom development, consulting, implementation, training, and integration services. Professional Services are governed by separate written agreements (such as Statements of Work), are priced separately, and are NOT included in the standard SaaS subscription.
  4. "Software" means the Infodeck software applications, including the web portal at https://infodeck.io and any associated mobile or desktop applications.
  5. "Customer" or "You" means any person or entity that subscribes to or uses the Services.
  6. "End User" means any individual authorised by the Customer to access and use the Services.
  7. "Customer Data" means all data, information, and content that the Customer or End Users input, upload, or store within the Services, including but not limited to work orders, asset records, maintenance history, inventory data, IoT sensor data, telemetry data, and user information. As between Infodeck and Customer, Customer retains all right, title, and interest in Customer Data.
  8. "Subscription Period" means the renewable period during which the Customer is authorised to use the Services (e.g., monthly, annually).
  9. "Fees" means the subscription fees payable for access to the Services.
  10. "Payment Processor" means the authorised third-party payment service provider responsible for processing payments, issuing invoices, collecting applicable taxes, and handling refunds for subscription transactions.
  11. "SLA" means Service Level Agreement, the uptime and performance commitments described herein and in our separate Service Level Agreement document available at https://www.infodeck.io/service-level-agreement.
  12. "API" means Application Programming Interface, the programmatic interface through which the Services may be accessed.
  13. "Personal Data" has the meaning given under the Singapore Personal Data Protection Act 2012 (PDPA) and, where applicable, the EU General Data Protection Regulation (GDPR).
  14. "Force Majeure Event" means any event beyond the reasonable control of either party, including: (a) natural disasters, earthquakes, floods, storms, or other acts of nature; (b) acts of government, war, terrorism, civil unrest, or sanctions; (c) pandemics, epidemics, or public health emergencies declared by the World Health Organization or relevant governmental authorities; (d) cyberattacks, including distributed denial-of-service attacks, ransomware, or nation-state attacks, provided that reasonable security measures were in place prior to the attack; (e) widespread Internet, telecommunications, or cloud infrastructure failures affecting multiple providers; (f) power grid failures or energy supply disruptions; and (g) third-party supplier or subcontractor failures outside the affected party's reasonable control.

2. Agreement and Acceptance

  1. These Terms and Conditions ("Terms") constitute a binding agreement between you and Infodeck governing your use of the Services.
  2. By accessing or using the Services, creating an account, or clicking "I Accept," you agree to be bound by these Terms. If you do not agree, you must not use the Services.
  3. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
  4. These Terms, together with our Privacy Policy and Service Level Agreement, constitute the entire agreement between you and Infodeck regarding the Services.
  5. These Terms are governed by the Singapore Electronic Transactions Act 2010. Electronic acceptance constitutes valid contract formation.

3. Subscription and Licence Grant

Subject to payment of the applicable Fees and compliance with these Terms, Infodeck grants you a non-exclusive, non-transferable, limited licence to access and use the Services during your Subscription Period.

This licence permits you to:

  1. Access and use the Services for your internal business operations.
  2. Permit your authorised End Users to access the Services in accordance with your subscription tier.
  3. Store and process Customer Data within the Services.
  4. Access the Services via API in accordance with your subscription plan and our API Usage Policy.
  5. Connect IoT devices and sensors to the platform as permitted by your subscription tier.

4. Restrictions and Conditions

You agree that you will not, and will not permit any End User to:

  1. Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software.
  2. Transfer, sublicense, resell, or distribute access to the Services to any third party without prior written consent.
  3. Use the Services in any manner that violates applicable laws or regulations.
  4. Interfere with or disrupt the integrity or performance of the Services.
  5. Attempt to gain unauthorised access to the Services, related systems, or networks.
  6. Use the Services to store or transmit malicious code, viruses, or harmful data.
  7. Exceed any API rate limits or usage restrictions specified in your subscription plan.
  8. Use the Services for any purpose competitive with Infodeck, including benchmarking without prior written consent.

You are responsible for maintaining the confidentiality of all login credentials and for all activities conducted under your account.

5. Customer Data Ownership and Portability

5.1 Customer Data Ownership

As between Infodeck and Customer, you retain all right, title, and interest in your Customer Data. Infodeck does not claim any ownership interest in your Customer Data. Customer Data includes, but is not limited to:

You may export your Customer Data at any time during your active subscription through our self-service export tools or by submitting a request to support@infodeck.io.

Infodeck will provide your Customer Data in standard, machine-readable, interoperable formats including CSV, JSON, and/or XML within thirty (30) days of your request. There is no charge for standard data exports.

Post-Termination Data Access: Upon termination or expiration of your subscription, your Customer Data will be retained and accessible for export for a period of sixty (60) days. After this retention period, your Customer Data will be permanently deleted from our systems, unless otherwise required by applicable law or unless you request earlier deletion.

5.3 Data Licence

You grant Infodeck a limited, non-exclusive licence to use, process, and store your Customer Data solely for the purpose of providing the Services. This licence does not permit Infodeck to sell, share, or disclose your Customer Data to third parties except as necessary to provide the Services or as required by law.

5.4 Aggregated and Anonymised Data

Infodeck may collect and use aggregated, anonymised data derived from Customer's use of the Services for service improvement, benchmarking, analytics, and product development purposes, provided such data cannot reasonably identify Customer, any End User, or any individual.

6. Payment Terms

6.1 Payment Processing

Payment processing services for the Services are provided by our authorised Payment Processor. The Payment Processor acts as the merchant of record for subscription transactions and is responsible for processing payments, issuing invoices, collecting applicable taxes, and handling payment-related inquiries.

When you purchase a subscription:

  1. You purchase access to the Services through our Payment Processor, and the Services are licensed to you by Infodeck.
  2. The Payment Processor is responsible for processing payments, issuing invoices, and collecting applicable taxes.
  3. By purchasing through our Payment Processor, you agree to be bound by the Payment Processor's terms of sale as presented during checkout.
  4. The Payment Processor will charge your chosen payment method (credit card, debit card, PayPal, or other available methods) for any paid transactions, including applicable taxes.

6.2 Fees and Billing

You agree to pay the Fees associated with your selected subscription plan. Fees are billed in advance on a recurring basis (monthly or annually, as selected).

Infodeck reserves the right to modify Fees upon thirty (30) days' written notice. Continued use of the Services after a Fee change constitutes acceptance of the new Fees. If you do not agree to a Fee change, you may terminate your subscription before the new Fees take effect.

6.3 Automatic Renewal

Your subscription will automatically renew for successive Subscription Periods of the same length unless you cancel at least forty-eight (48) hours before the end of your current billing period. You will receive renewal reminder notifications via email at least seven (7) days before each renewal date.

6.4 Late Payment

If payment is not received within seven (7) days of the due date, Infodeck may suspend access to the Services until payment is received. Continued non-payment for thirty (30) days may result in termination of your subscription.

6.5 Payment Security

Infodeck does not store credit card information. All payment credentials are securely processed and stored by our Payment Processor in accordance with PCI-DSS standards.

7. Refund Policy

7.1 Free Trial

We offer a 30-day free trial with no credit card required. This trial period allows you to fully evaluate the Services before making a purchase decision.

7.2 Subscription Purchases

Because a comprehensive free trial is provided, subscription fees are generally non-refundable after purchase. We encourage you to fully evaluate the Services during your trial period before subscribing.

7.3 Renewal Refunds

For subscription renewals, if you believe you were charged in error or forgot to cancel, you may request a refund within seven (7) days of the renewal date.

7.4 How to Request a Refund

To request a refund, contact support@infodeck.io with your order details. Our support team will review your request and coordinate with our Payment Processor as needed. Approved refunds will be returned to the original payment method within fourteen (14) days.

7.5 EU Consumer Rights

For consumers in the European Union: You have the right to cancel this Agreement within 14 days without giving any reason, as provided under the Consumer Rights Directive 2011/83/EU.

Exception for Digital Content: By purchasing access to the Services and consenting to immediate access, you acknowledge that you lose your right of withdrawal once the Services are made available to you and you begin using the platform.

This refund policy does not affect your statutory rights as a consumer in relation to products which are not as described, faulty, or not fit for purpose.

8. Service Level Agreement

8.1 Uptime Commitment

Infodeck commits to 99.5% uptime availability for the Services, measured on a quarterly basis. Uptime is calculated as:

((Total Minutes in Quarter - Downtime Minutes) / Total Minutes in Quarter) × 100

"Downtime" means any period of fifteen (15) or more consecutive minutes during which the Services are unavailable due to factors within Infodeck's reasonable control.

8.2 Exclusions from Downtime

The following are excluded from Downtime calculations:

8.3 Scheduled Maintenance

Scheduled maintenance will be conducted during off-peak hours, typically weekends between 00:00 and 06:00 SGT (Singapore Time, UTC+8). Infodeck will provide at least forty-eight (48) hours' advance notice for scheduled maintenance via email or in-app notification.

8.4 Service Credits

In the event of unscheduled downtime that results in quarterly uptime falling below 99.5%, affected customers may request service credits as follows:

Service credit requests must be submitted within thirty (30) days of the end of the affected quarter. Credits are capped at one (1) month's subscription fees per quarter and will be applied to future invoices. Service credits are your sole and exclusive remedy for downtime.

8.5 Support Response Times

Infodeck provides support via email (support@infodeck.io) with the following target response times during business hours (Monday-Friday, 09:00-18:00 SGT):

9. Data Security and Breach Notification

Infodeck implements industry-standard security measures to protect Customer Data, including:

Infodeck processes personal data in accordance with our Privacy Policy (available at https://www.infodeck.io/policies/privacy-policy) and applicable data protection laws, including the Singapore Personal Data Protection Act (PDPA) and, where applicable, the General Data Protection Regulation (GDPR).

10. API Access and Integrations

10.1 API Licence

Subject to your subscription plan, Infodeck grants you a limited, non-exclusive licence to access the Services via our API for the purpose of integrating the Services with your own systems and applications.

10.2 API Usage Limits

API access is subject to rate limits and fair use policies as specified in our API documentation. Exceeding these limits may result in temporary throttling or suspension of API access. Enterprise customers may negotiate custom API limits.

10.3 API Security

You are responsible for maintaining the security of your API credentials. API keys should be treated as confidential information and must not be shared publicly or embedded in client-side code.

10.4 Third-Party Integrations

The Services may integrate with third-party applications, IoT devices, and services. Such integrations are provided "as is" and Infodeck is not responsible for the availability, accuracy, or functionality of third-party services. Your use of third-party integrations is subject to the respective third party's terms and conditions.

11. IoT Device Terms

11.1 Device Connectivity

The Services support connectivity with IoT sensors and devices for the purpose of collecting telemetry data, monitoring equipment, and triggering automated workflows. Device connectivity limits are determined by your subscription tier.

11.2 Device Security

You are responsible for ensuring that IoT devices connected to the Services are properly secured and configured. Infodeck is not liable for security incidents arising from misconfigured or compromised devices on your network.

11.3 Data Transmission

IoT sensor data transmitted to the Services is stored and processed in accordance with Section 5 (Data Ownership) and Section 9 (Data Security). You acknowledge that the frequency and volume of IoT data may affect system performance and storage consumption.

12. Intellectual Property Rights

12.1 Infodeck IP

All intellectual property rights in the Services, Software, APIs, and documentation, including but not limited to patents, copyrights, trademarks, and trade secrets, are and shall remain the exclusive property of Infodeck or its licensors. Nothing in these Terms transfers any ownership of intellectual property to you.

12.2 Feedback

If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant Infodeck a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such Feedback into the Services without any obligation to you.

13. Acceptable Use and Content

You agree not to use the Services to store, transmit, or process content that:

  1. Is obscene, pornographic, or sexually explicit
  2. Promotes violence, hatred, discrimination, or illegal activities
  3. Infringes the intellectual property or privacy rights of third parties
  4. Contains malware, viruses, or other harmful code
  5. Violates any applicable laws or regulations

Infodeck reserves the right to remove any content that violates these Terms and to suspend or terminate accounts engaging in prohibited conduct.

14. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFODECK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Infodeck does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components. You acknowledge that no system is completely secure and that Infodeck cannot guarantee absolute security of your data.

15. Limitation of Liability

  1. Exclusion of Indirect Damages: To the maximum extent permitted by law, Infodeck shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to these Terms or your use of the Services, even if advised of the possibility of such damages.
  2. Cap on Liability: Infodeck's total aggregate liability arising out of or related to these Terms shall not exceed the total Fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.
  3. Exceptions: Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Infodeck and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  1. Your use of the Services in violation of these Terms
  2. Your Customer Data or content
  3. Your violation of any third-party rights
  4. Any claim by an End User related to your account

17. Termination

17.1 Termination by Customer

You may cancel your subscription at any time through your account settings or by contacting support@infodeck.io. To avoid being charged for the next billing period, you must cancel at least forty-eight (48) hours before your renewal date. Cancellation will take effect at the end of the current billing period.

17.2 Termination by Infodeck

Infodeck may terminate your subscription:

  1. Upon thirty (30) days' written notice for convenience
  2. Immediately if you breach any material term of these Terms and fail to cure such breach within fourteen (14) days of notice
  3. Immediately if you fail to pay Fees within thirty (30) days of the due date
  4. Immediately if required by law or regulatory authority
  5. Immediately if you engage in fraudulent, illegal, or abusive conduct

17.3 Effect of Termination

Upon termination:

  1. Your right to access and use the Services will cease at the end of the billing period (for Customer termination) or immediately (for Infodeck termination for cause)
  2. You must pay any outstanding Fees owed
  3. Your Customer Data will be retained for sixty (60) days to allow for export, after which it will be permanently deleted
  4. You may request earlier deletion of your Customer Data by written notice

17.4 Refunds Upon Termination

If Customer terminates due to an uncured material breach by Infodeck (including sustained failure to meet SLA commitments), Customer shall be entitled to a pro-rata refund of prepaid Fees for the unused portion of the Subscription Period. Otherwise, no refunds are provided for early termination outside the refund policy periods in Section 7.

17.5 Survival

Sections relating to Customer Data ownership (5), payment obligations (6), intellectual property (12), warranty disclaimer (14), limitation of liability (15), indemnification (16), and governing law (21) shall survive termination.

18. Suspension of Services

Infodeck reserves the right to suspend your access to the Services:

  1. During scheduled maintenance (with advance notice per Section 8.3)
  2. In response to a Force Majeure Event
  3. If we detect security threats, attacks, or malicious activity affecting your account or the Services
  4. If you breach these Terms, pending investigation
  5. If required by law, regulation, or court order
  6. For non-payment of Fees

Infodeck will use reasonable efforts to notify you prior to or promptly after any suspension, except where immediate suspension is necessary to protect the Services, other customers, or comply with legal requirements. Suspension does not relieve you of payment obligations.

19. Professional Services

Infodeck may offer optional Professional Services including custom development, implementation, training, data migration, and consulting. Professional Services are:

  1. NOT included in the standard SaaS subscription
  2. Priced separately and governed by separate written agreements (such as Statements of Work)
  3. Billed separately from your SaaS subscription fees
  4. Human-delivered services subject to their own terms, timelines, and acceptance criteria

The refund policy in Section 7 and Service Level Agreement in Section 8 apply only to SaaS subscription fees, not to Professional Services.

20. Third-Party Services

The Services may integrate with or link to third-party products, applications, cloud services, or APIs. Infodeck makes no representations or warranties regarding third-party services and is not liable for any loss, damage, or service interruption arising from your use of such services. Your use of third-party services is subject to those providers' terms and conditions and privacy policies.

21. Modifications to Terms

Infodeck may modify these Terms from time to time.

Material Changes: We will provide at least thirty (30) days' advance notice of material changes via email and/or in-app notification.

Non-Material Changes: We will provide at least seven (7) days' notice for non-material changes.

Your continued use of the Services after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you may terminate your subscription before the changes take effect and receive a pro-rata refund for any prepaid unused period.

22. General Provisions

22.1 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore. For enterprise customers, disputes may alternatively be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules, if agreed in writing by both parties.

22.2 Entire Agreement

These Terms, together with our Privacy Policy and Service Level Agreement, constitute the entire agreement between you and Infodeck regarding the Services and supersede all prior agreements, representations, and understandings.

22.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

22.4 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Infodeck's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it in the future.

22.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without Infodeck's prior written consent.

Infodeck may assign these Terms to a subsidiary, affiliate, or successor in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets, provided that the assignee assumes all obligations under these Terms and provides notice to Customer within thirty (30) days of such assignment.

22.6 Notices

All legal notices to Infodeck should be sent to: legal@infodeck.io or Infodeck Technology Pte Ltd, 68 Circular Road #02-01, 049422, Singapore.

Notices to you will be sent to the email address associated with your account or through in-app notifications. You are responsible for keeping your contact information current.

22.7 Force Majeure

Neither party shall be liable for any failure or delay in performance due to a Force Majeure Event (as defined in Section 1), provided that:

22.8 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

22.9 Export Compliance

You agree to comply with all applicable export control laws and regulations in connection with your use of the Services. You represent that you are not located in, or a resident of, any country subject to comprehensive sanctions, and are not on any restricted party list.
